1. Operator
Memoris is a European digital project. In these terms, "Memoris", "we", "us", and "our" refer to the operator of the service. These terms constitute a binding agreement between you and Memoris.
2. The service
Memoris is a software platform for creating place-based AI presences: authored digital works tied to geographic coordinates or kept private within a vault. The service delivers digital access and digital content only. All purchased content and access are delivered immediately at the point of transaction. Payments are handled by our payment infrastructure partner acting as Merchant of Record. Memoris does not sell physical goods or human services.
3. Eligibility
You must be at least 18 years old, or the applicable age of majority in your jurisdiction if higher, to use Memoris. By accessing or using the service, you represent that you meet this requirement. The service may not be used by, for, or marketed toward minors.
4. Vault access and account security
Access to Memoris is tied to a vault. When you create a vault, you receive a recovery secret. You are solely responsible for safeguarding that recovery secret. We do not store the raw recovery secret and cannot restore access if it is lost. Device sessions and passkeys are convenience mechanisms and do not replace the recovery secret.
You are responsible for all activity that occurs under your vault. If you suspect unauthorized access, notify us immediately.
5. Permitted use
Memoris is intended for authored digital works, including: cultural and local storytelling; artistic and literary projects; historical or reflective interpretation; fictional voices and worldbuilding; and restricted owner-only presences anchored to real coordinates.
All presences and all uses of the service must comply with these terms and applicable law.
6. Prohibited use
The following are prohibited on Memoris. This list is illustrative, not exhaustive.
Unlawful or infringing content. You may not create presences or use the service in ways that are illegal, infringe third-party intellectual property rights, constitute defamation or harassment, or facilitate any unlawful act.
Deceptive conduct. You may not impersonate real individuals without clear fictional framing, create false impressions of identity or affiliation, generate fake reviews or social proof, or engage in deceptive practices toward other users or third parties.
Adult, intimate, and companion content. Sexually explicit content, companion-style or romantic simulation products, AI girlfriend or boyfriend services, and any AI-generated or AI-proxied adult or NSFW content are not permitted under any framing. This includes content delivered indirectly through AI or proxy services. Memoris is not a social or intimacy platform.
Regulated services. Using a presence to deliver financial advice, investment guidance, medical advice, legal services, or any other regulated service is prohibited.
Content targeting minors. Presences may not be designed for, directed at, or marketed toward minors.
System abuse. You may not attempt to compromise the platform's security, circumvent access controls, initiate fraudulent chargebacks, or use the service to circumvent the terms or systems of other services.
Marketplace use. You may not use Memoris to sell, distribute, or resell third-party products or services on behalf of others, whether against an upfront payment or with a revenue share arrangement.
Payment-provider prohibited categories. Because payments are processed through a Merchant of Record, the following are also prohibited: gambling and betting services; cryptocurrency or NFT products; counterfeit goods; unauthorized resale of third-party licenses; bulk outreach or lead generation services; IPTV services; physical goods or entirely human services; and products for which you do not hold the required intellectual property rights or distribution licenses.
7. Content moderation
All presence creation inputs are subject to automated moderation before a presence is published. We use third-party AI moderation infrastructure (including OpenAI and Anthropic) to screen submitted content against our content policies prior to generation.
Content that fails moderation will not be processed. We may also conduct manual review and take enforcement action at any time, including after a presence has been published, if content is found to violate these terms.
8. Content and intellectual property
You retain ownership of the content you submit to create a presence. By creating a presence, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, moderate, display, and deliver the presence through the service according to its configured visibility settings, and to take any action reasonably necessary to operate, secure, and enforce the platform.
You represent that you own or have the necessary rights to the content you submit, and that it does not infringe any third-party rights.
We retain all rights to the Memoris platform, its underlying software, brand, and generated infrastructure. No use of Memoris grants you any rights to that intellectual property.
9. Payments, digital delivery, and refunds
Presence creation and memo credits are digital purchases delivered immediately at the point of transaction. Payments are processed by our payment infrastructure partner acting as Merchant of Record. We do not store full payment card data.
All purchases are generally non-refundable once the digital service has been delivered, including: a presence creation flow that has entered processing; memo credits added to a vault; or digital access already granted.
We may issue refunds in cases of duplicate billing, technical failure to deliver, billing error, or where required by applicable law. Our full refund policy is available at memoris.org/refunds.
10. Moderation and enforcement
We may review presence content and user behavior for trust and safety, legal compliance, and payment-provider compliance. We may, at our sole discretion and without prior notice: remove or disable a presence; suspend or terminate vault access; cancel pending purchases; or refuse future use of the service.
11. Presence ownership and lifecycle
Presences are owned by the vault that created them. The vault owner may manage, modify, or delete their presences at any time through the product.
We may also change the state of a presence for moderation, compliance, technical, or legal reasons. Lifecycle behavior and product features may evolve as the service develops.
12. Availability
We do not guarantee uninterrupted service and may suspend or limit functionality for maintenance, security, moderation, compliance, or infrastructure reasons without liability.
13. Disclaimer of warranties
The service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
14. Limitation of liability
To the fullest extent permitted by applicable law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the service. Our total aggregate liability for any claim shall not exceed the amounts paid by you to us in the twelve months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless Memoris, its operators, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the service, your content, or your violation of these terms.
16. Governing law and disputes
These terms are governed by the laws of Belgium, without regard to conflict of law principles. Any disputes shall be submitted to the competent courts of Brussels, Belgium.
If you are a consumer residing in the European Union, you also benefit from any mandatory consumer protection rules that apply in your country of residence.
17. Changes
We may update these terms from time to time. Material changes will be communicated via the platform before they take effect. Continued use after an updated version takes effect constitutes acceptance of the revised terms.
